Plus de VW, puisque le constructeur fran\u00e7ais de voitures de sport de luxe va sortir du giron du groupe allemand Volkswagen, apr\u00e8s quasi 30 ann\u00e9es de partenariat. Porsche, filiale de ce mastodonte de l&rsquo;automobile en Europe, a en effet vendu sa participation de 45% \u00e0 un consortium emmen\u00e9 par HOF Capital, une soci\u00e9t\u00e9 de capital-risque am\u00e9ricaine. Retour sur cette transaction, qui promet de redessiner l&rsquo;avenir de la marque d&rsquo;hypercars.<\/strong><\/p>\n<p>Ettore Bugatti a fond\u00e9 la marque portant son nom en 1909 \u00e0 Molsheim, en Alsace, o\u00f9 se trouve d&rsquo;ailleurs toujours l&rsquo;atelier de production. A la fin des ann\u00e9es 1950, l&rsquo;enseigne finit par disparaitre. En 2021, <a href=\"https:\/\/www.porsche.com\/belgium\/fr\/\">Porsche<\/a>, filiale de VW, et le groupe croate <a href=\"https:\/\/www.rimac-automobili.com\/\">Rimac<\/a>, sp\u00e9cialis\u00e9 dans les voitures de sport \u00e9lectriques, cr\u00e9ent la co-entreprise <a href=\"https:\/\/www.bugatti-rimac.com\/\">Bugatti Rimac<\/a>. Porsche y d\u00e9tient une participation minoritaire de 45%, tandis que Rimac poss\u00e8de les 55% restants. L&rsquo;accord pr\u00e9voit aussi que la marque allemande obtienne 20,6% des parts du groupe croate.<\/p>\n<p>En ce mois d&rsquo;avril 2026, Porsche a d\u00e9cid\u00e9 de c\u00e9der l&rsquo;int\u00e9gralit\u00e9 de ses participations, tant dans la co-entreprise que ses 20,6% dans Rimac, au consortium dirig\u00e9 par <a href=\"https:\/\/hofcapital.com\/\">HOF Capital<\/a>. Ce consortium comprend <a href=\"https:\/\/bluefivecapital.com\/newsroom\/porsche-sells-its-stakes-in-bugatti-rimac-and-rimac-group-to-international-consortium\/\">BlueFive Capital<\/a>, son principal investisseur, bas\u00e9 \u00e0 Abu Dhabi, ainsi qu&rsquo;un groupe d&rsquo;investisseurs institutionnels aux \u00c9tats-Unis et dans l&rsquo;Union europ\u00e9enne.<\/p>\n<p>&nbsp;<\/p>\n<p>Lorsque la transaction aura re\u00e7u l&rsquo;approbation des autorit\u00e9s comp\u00e9tentes et aura \u00e9t\u00e9 finalis\u00e9e (ce qui devrait \u00eatre le cas avant la fin 2026), le groupe Rimac prendra le contr\u00f4le de Bugatti Rimac et formera un partenariat strat\u00e9gique avec HOF Capital et BlueFive Capital \u00ab\u00a0afin de soutenir sa croissance continue\u00a0\u00bb. HOF Capital, qui dirige le consortium repreneur, en deviendra le principal actionnaire, aux c\u00f4t\u00e9s de Mate Rimac, fondateur de Rimac et CEO de Bugatti Rimac.<\/p>\n<p>La soci\u00e9t\u00e9 de capital-risque am\u00e9ricaine d\u00e9tient de sacr\u00e9es participations, puisqu&rsquo;on retrouve dans son portefeuille les g\u00e9ants de l&rsquo;IA Anthropic (Claude) et OpenAI (ChatGPT) ainsi que les diff\u00e9rentes soci\u00e9t\u00e9s d&rsquo;Elon Musk, comme xAI (la soci\u00e9t\u00e9 poss\u00e9dant le r\u00e9seau social X &#8211; ex-Twitter &#8211; et ayant d\u00e9velopp\u00e9 Grok) mais aussi SpaceX ou Neuralink. Aujourd\u2019hui, avec la cession de notre participation, nous montrons que Porsche va se recentrer sur son c\u0153ur de m\u00e9tier\u00a0\u00bb, explique <a href=\"https:\/\/de.linkedin.com\/in\/michael-leiters-99b11a22b\">Michael Leiters<\/a>, le CEO du constructeur allemand.<\/p>\n<p>Son entreprise est confront\u00e9e \u00e0 de sacr\u00e9s vents contraires: ventes des mod\u00e8les \u00e9lectriques moins \u00e9lev\u00e9es qu&rsquo;attendues la poussant \u00e0 se recentrer sur les moteurs thermiques et hybrides, droits de douane aux Etats-Unis et activit\u00e9s en Chine qui ne performent pas. Le revirement strat\u00e9gique sur l&rsquo;\u00e9lectrique a provoqu\u00e9 l&rsquo;effondrement de son b\u00e9n\u00e9fice op\u00e9rationnel. Il a recul\u00e9 de 92,7% (!) \u00e0 413 millions d&rsquo;euros, contre 5,64 milliards d&rsquo;euros en 2024. Le chiffre d&rsquo;affaires a, lui, r\u00e9gress\u00e9 de 9,5% l&rsquo;an dernier, \u00e0 36,27 milliards d&rsquo;euros. La marge op\u00e9rationnelle n&rsquo;est plus que d&rsquo;1,1%, pour 14,1% l&rsquo;ann\u00e9e pr\u00e9c\u00e9dente.<\/p>\n<p>\u00ab\u00a0Porsche a \u00e9t\u00e9 un partenaire essentiel, et nous lui sommes profond\u00e9ment reconnaissants pour le r\u00f4le qu\u2019elle a jou\u00e9 dans la cr\u00e9ation de Bugatti Rimac. Gr\u00e2ce aux bases solides que son soutien nous a permis d\u2019\u00e9tablir, nous disposons d\u00e9sormais d\u2019une structure qui nous permet de concr\u00e9tiser encore plus rapidement notre vision \u00e0 long terme.
