In een <a href=\"https:\/\/www.cofinimmo.com\/media\/jhibuncw\/corporate-press-release-13-05-2025-fr.pdf\">persbericht van dinsdagmorgen<\/a>, rond 10 uur, verduidelijkte het bedrijf de financi\u00eble en industri\u00eble voorwaarden voor het starten van besprekingen.<\/p>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-full wp-image-10301\" src=\"https:\/\/www.forbes.be\/fr\/wp-content\/uploads\/2025\/05\/capture-decran-2025-05-13-a-113728-scaled.png\" alt=\"\" width=\"2560\" height=\"1427\" \/><\/p>\n<p style=\"font-weight: 400;\">De door de bruid ge\u00ebiste aandelenruilverhouding is nu <strong>vastgesteld op 1,21 van de huidige koers<\/strong>, wat een ruilpremie van meer dan 20% betekent voor de aandeelhouders van Cofinimmo die voor het huwelijk zijn uitgenodigd.<\/p>\n<h3 style=\"font-weight: 400;\">Antwoord van de bruid aan de bruidegom<\/h3>\n<p style=\"font-weight: 400;\">Aedifica, waarvan de handel in aandelen tijdelijk werd opgeschort, had vanmorgen nog voor de opening van de markten <a href=\"https:\/\/aedifica.eu\/fr\/transactions-2025\/\">een buitengewone algemene vergadering aangekondigd<\/a> die volgende donderdag in Brussel zal plaatsvinden. Deze bijeenkomst is bedoeld om de uitgifte van nieuwe aandelen goed te keuren in het kader van het &#8220;voorwaardelijke en vrijwillige aanbod tot uitwisseling voor alle stemgerechtigde effecten van Cofinimmo&#8221; <a href=\"https:\/\/www.forbes.be\/fr\/aedifica-veut-gentiment-avaler-cofinimmo\/\">ge\u00efnitieerd op 1 mei laatstleden<\/a>.<\/p>\n<p style=\"font-weight: 400;\">In de offici\u00eble berichten die vanmorgen werden gepubliceerd, is het maximum bedrag voor de kapitaalverhoging ter dekking van de uitgifte van de nodige nieuwe aandelen vastgelegd op <strong>1.166.118.703,41 euro<\/strong> (exclusief emissiepremie).
